Agreement Between You and Global Admin X

These Terms of Service ("Terms") govern the professional services provided by Global Admin X ("we", "our", "us") to clients ("Client", "you", "your").

By engaging our services, requesting a proposal, approving a quotation, submitting information through our website, or otherwise working with us, you agree to be legally bound by these Terms.

Global Admin X delivers outsourced operational support, administrative services, bookkeeping support, business process outsourcing, payroll administration, NDIS support, virtual assistant services, IT support, invoicing management, and educational administration services.

Services We Provide

Our services may include:

• Xero Back-Office Documentation
• NDIS Administrative Support
• Payroll Processing & HR Operations
• Virtual Assistant Services
• Invoicing & Accounts Administration
• IT Support Coordination
• College & Educational Administration
• Business Process Outsourcing (BPO)
• Custom Administrative Support Services

Specific deliverables, timelines, and service levels will be defined in separate proposals, quotations, agreements, or written communications.

Independent Service Provider

Global Admin X operates as an independent contractor and service provider. Nothing in these Terms creates an employment, partnership, agency, or joint venture relationship between Global Admin X and the Client.

Clients retain full responsibility for business decisions, financial approvals, legal compliance, employee management, and regulatory obligations.

Client Responsibilities

• Provide accurate and complete information.
• Grant necessary system access when required.
• Review completed work in a timely manner.
• Respond promptly to requests and approvals.
• Ensure compliance with applicable laws and regulations.

Delays caused by missing information, inaccessible systems, or incomplete instructions may affect service delivery timelines.

Confidentiality & Data Security

We recognize that our clients share confidential business, employee, payroll, operational, financial, and educational information.

Global Admin X will take reasonable administrative and technical measures to safeguard confidential information and will only use such information for purposes directly related to service delivery.

We will not disclose confidential information to third parties unless:

• Required by law.
• Authorized by the client.
• Necessary to provide agreed services.

Third-Party Software Platforms

Our services may involve third-party software and cloud platforms, including but not limited to Xero, MYOB, BrightHR, Invoice2go, Microsoft 365, Google Workspace, payroll systems, and CRM platforms.

Global Admin X is not responsible for outages, platform failures, software bugs, vendor decisions, data loss, or service interruptions originating from third-party providers.

Fees & Payment Terms

• Invoices are payable according to agreed payment terms.
• Retainer services may be billed in advance.
• Project work may require an upfront deposit.
• Late payments may result in suspension of services.
• Outstanding invoices remain payable after termination.

Intellectual Property

Clients retain ownership of all information, documentation, records, and proprietary content provided to Global Admin X.

Global Admin X retains ownership of its methodologies, workflows, operational systems, templates, procedures, and internal processes.

Limitation of Liability

To the maximum extent permitted by law, Global Admin X shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, contracts, goodwill, or business opportunities.

Our total liability shall not exceed the fees paid by the client during the three (3) months immediately preceding the claim.

Termination

Either party may terminate services by providing written notice. Upon termination, all outstanding fees become immediately payable, and work completed up to the termination date will remain chargeable.

Governing Law

These Terms shall be governed by and interpreted under the laws of India. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of India.
